Welcome to the online/mobile services provided by MemeX (hereinafter, the "Company") (hereinafter, the "Platform" or "MemeX Services"). Before using the Platform, please read and understand these Terms of Use (hereinafter, the "Terms") carefully. By accessing or using the Platform, you are deemed to have read, understood, and agreed to these Terms and any related policies or documents. Certain features of this Service may utilize third-party networks or blockchain technology, and further details are governed by the relevant provisions of these Terms.

1. Introduction

1.1. MemeX provides users with a platform that includes content and social interaction features, and blockchain-based features and digital items (for definitions, see Article 33) may be included in the course of operating the Service. MemeX and its affiliates (hereinafter, "MemeX," the "Company," "we," "us," or "our") provide tools and resources that support user participation.

1.2. By using the MemeX Platform, you agree to enter into a legally binding contract with us. These Terms govern your access to and use of the MemeX Platform, the Services, and all related content, features, or tools provided by MemeX.

1.3. Please review these Terms and any additional terms, policies, or guidelines referenced herein carefully. If you have any questions or require further clarification, please contact us using the information provided in the "Contact Information" section.

1.4. By accessing or using the MemeX Platform, you are deemed to have read, understood, and agreed to these Terms and any additional terms or policies that may apply to specific features or Services. If you do not agree to these Terms, you must refrain from using the MemeX Platform.

1.5. MemeX reserves the right to modify or update these Terms at any time to reflect changes in the Services, laws, or other circumstances. Notice of and effectiveness of changes to the Terms are governed by Article 16 (Amendments to the Terms).

2. Risk Disclosure

The use of the MemeX Platform (including features related to digital items and social interaction features) involves certain risks. MemeX provides the Services on an "AS IS" and "AS AVAILABLE" basis, without any warranty or guarantee of any kind.

2.1. Volatility and Financial Risk The value of digital items (for example, tokens) is highly volatile. Transactions, holdings, or participation relating to digital items involve a substantial risk of financial loss. You should carefully assess whether such activities are consistent with your financial objectives, circumstances, and risk tolerance. MemeX does not warrant, endorse, or guarantee the value or stability of any digital item or activity.

2.2. Content-Related Risks In the course of using MemeX's social interaction features, you may be exposed to user-generated content that is offensive, inaccurate, misleading, or harmful. We are not obligated to pre-screen or continuously monitor all user content, but we may review, monitor, remove, restrict, or otherwise take action with respect to certain content when reports are received or when we deem it necessary. MemeX limits its liability, to the extent permitted by applicable law, for the reliability of user content or any consequences arising therefrom.

2.3. No Financial or Investment Advice Information provided on the MemeX Platform must not be regarded as financial or investment advice. Where necessary, you should conduct your own due diligence and consult qualified professionals. MemeX is not responsible for decisions made based on platform content or third-party recommendations.

2.4. Responsibility for Use Use of the MemeX Platform is entirely at your own discretion and risk. MemeX is not responsible for losses arising from technical failures, unauthorized access, or user error. By continuing to use the Platform, you are deemed to acknowledge and accept these risks.

3. Disclaimer of Responsibility

MemeX is not your broker, agent, intermediary, or advisor, and does not provide fiduciary duties or advisory duties in connection with your use of the MemeX Platform or Services. By using our Platform, you acknowledge and agree that all decisions relating to digital items are made entirely at your own discretion and responsibility.

Information and communications provided by MemeX (including content shared through our Platform) are provided for informational purposes only and must not be construed as financial, legal, or investment advice.

It is entirely your responsibility to determine the suitability of any investment, trading strategy, or related activity, and such determination depends on your personal circumstances, including your financial objectives and risk tolerance. MemeX does not warrant, recommend, or guarantee the performance of any particular digital item or trading strategy.

Before making decisions regarding digital items, you must conduct thorough research, assess risks, and seek independent professional advice where appropriate. MemeX is not responsible for any loss, damage, or liability arising from your decision to purchase, sell, hold, or trade digital items, even if influenced by content, tools, or communications provided on the MemeX Platform or Services.

4. Eligibility Requirements

4.1. To access and use the MemeX Platform, you must satisfy the following eligibility requirements.

You must be an individual, corporation, or legal entity with the qualifications and authority to:

(i) access and use the MemeX Platform; and (ii) comply with these Terms, applicable laws, and all referenced policies.

If you act on behalf of an organization, you must have the authority to legally bind that organization.

You must not reside, be incorporated, or operate in any jurisdiction:

(i) where use of the MemeX Platform would violate applicable laws, regulations, or sanctions; or (ii) where providing services to you could cause us or a third party to violate such laws, regulations, or sanctions.

The MemeX Platform is not intended for persons under the age of 18, and persons under the age of 18 may not use the MemeX Platform. We verify age during the sign-up process through entry of date of birth, and registration is restricted if the user is determined to be under the age of 18. The date of birth collected for age verification is destroyed immediately after confirming whether the user is at least 18 years old, and only the result of whether the user is at least 18 years old (eligibility by age) is retained.

4.2. By accessing or using the MemeX Platform, you represent and warrant that you satisfy these eligibility requirements and that your use of the MemeX Platform does not violate any applicable laws or regulations.

4.3. We reserve the right to update or modify the eligibility criteria at any time, including but not limited to:

compliance with changing legal or regulatory requirements; enhancement of user safety, security, or experience; or addressing imminent risks, threats, or operational needs.

Where possible, we will provide advance notice of changes. Where advance notice is not possible, we will notify you as soon as reasonably practicable.

4.4. MemeX reserves the right, in its sole discretion, to suspend or terminate access to the Platform where:

use of the Platform by you poses a risk to MemeX, other users, or third parties; you fail to satisfy the eligibility requirements or violate these Terms; or other legitimate grounds specified in these Terms arise.

5. MemeX Platform

5.1. Permission to use the MemeX Platform is granted at our sole discretion. MemeX reserves the right to modify, deny, or restrict access to the Platform or any of its features at any time without prior notice or explanation. Access may be revoked for reasons including, but not limited to:

violation of these Terms or applicable laws; engaging in activities deemed harmful to the Platform, users, or third parties; or operational, technical, or security considerations.

5.2. Content that you post, upload, or disclose must not include (and is prohibited from including):

abusive, defamatory, obscene, or otherwise offensive content; promotion of violence, discrimination, harassment, or hate speech; market manipulation, dissemination of false or misleading information, or acts for spam/flooding purposes; violation of laws, regulations, or third-party rights (including intellectual property rights); harmful or deceptive acts such as malware, phishing, or inducement of fraud.

Even where external platform content is linked or embedded, the same standards of this Section (5.2), including the prohibited items below, apply equally.

In particular, the following are prohibited:

explicit adult material/pornography (exposure for sexual arousal purposes); sexual content involving minors and non-consensual sexual images/videos; harassment/intimidation/physical threats/doxxing; phishing/malware/fraudulent-inducement links; content that infringes another person's copyright/trademark/right of publicity (including through embedding).

5.3. MemeX reserves the right, at its discretion, to monitor, remove, or restrict access to any content that violates these Terms. Actions MemeX may take include:

hiding or deleting posts or comments; restricting, suspending, or terminating account use; restricting access to specific features.

5.4. Users are solely responsible for ensuring that content they post or share complies with applicable laws and these Terms. MemeX does not guarantee the legality, accuracy, or appropriateness of user-created content.

5.5. Where content is reported or where MemeX independently identifies a potential violation, we may review the matter and take appropriate action in accordance with our internal policies.

5.6. Embedded Content and Third-Party Media

5.6.1. Allowlist MemeX may permit posting or display through linking/embedding only from certain approved domains/services. The currently approved services are as follows:

  • YouTube (including Shorts)

  • Giphy

  • Spotify

  • SoundCloud

  • X (formerly Twitter)

5.6.2. Compliance with Third-Party Policies You must comply with the terms of use, community guidelines, copyright policies, age restrictions, and playback/API/embedding policies of the source platform. Where the source platform blocks or restricts embedding, MemeX may also limit display.

5.6.3. UGC Safety (Filtering/Reporting/Blocking) Even if content is hosted externally, MemeX may, where deemed necessary, hide/block/remove an embed or restrict exposure in feeds/search under standards equivalent to Section 5.2.

5.6.4. NSFW (Incidental Adult Content) Where lawful and platform-permitted, limited display may be allowed only for mild/adult content that is incidental, provided that it is not explicit pornography, does not involve minors or non-consensual sexual content, and is age-gated/blurred where appropriate. Explicit pornography, sexual violence, non-consensual sexual content, and sexual content involving minors are prohibited regardless of embedding.

5.6.5. Receipt of Third-Party Data (Privacy Notice) When you play or load embedded content, the source service and/or CDN may collect your IP address, cookies/device information, and viewing logs. For details, please refer to our Privacy Policy and the privacy policy of the source service.

5.6.6. In-App Reporting and Blocking Functions MemeX may provide an in-app reporting channel and a user/blocking feature for inappropriate embedded content.

5.7. Copyright and Rights Infringement Reports (Notice & Takedown)

5.7.1. Submission of Reports A rights holder (or agent) asserting copyright infringement or other rights infringement may submit a report through the following channel: email [biz@memex.xyz]

5.7.2. Recommended Report Requirements (1) name/contact information of the rights holder, (2) description of the work allegedly infringed, (3) the location within MemeX (post link/identifier), and (4) a statement regarding authority and accuracy.

5.7.3. Measures MemeX may, within a reasonable scope, take measures including: (i) disabling/hiding an embed, (ii) hiding or deleting a post/comment, and (iii) account sanctions.

5.7.4. Repeat Infringer If valid infringement reports are repeatedly made with respect to the same user, MemeX may take measures including restricting or terminating account use.

6. Fees and Payments

At the time of account opening, there is currently no separate account opening fee.

The service fees for MemeX use are as follows:

A portion of the service fees (transaction fees) generated on MemeX is returned through creator reward (Social & Trading) buybacks.

6.1. Each user must pay all applicable fees in connection with transactions and use of the MemeX Platform. By using the Platform, you agree to pay all fees associated with your account or use of the services.

6.2. Users authorize MemeX to automatically deduct or collect such fees from their designated payment method or transaction amount, where applicable.

6.3. Unless otherwise expressly stated, all fees paid are non-refundable.

6.4. Fee adjustment: MemeX reserves the right to change fees from time to time. Changes will be announced in advance through the Platform.

6.5. Users are responsible for any taxes, charges, or governmental fees that may arise in relation to use of the Platform, unless otherwise required by law.

7. Records

7.1. You are responsible for maintaining your own records regarding use of the MemeX Platform, transactions, and communications. Any records or confirmations provided by MemeX are for your convenience only and do not constitute the official or conclusive record of account activity.

7.2. MemeX may retain records relating to the Platform and user activities for legal, regulatory, operational, or security purposes. The period and scope of retention are determined in accordance with applicable laws, regulations, and our internal policies.

7.3. Records retained by MemeX may include transaction logs, access records, user communications, technical logs, and other data reasonably related to use of the Platform.

7.4. MemeX may provide copies of or access to certain records upon lawful request from competent authorities, or where required by applicable law.

7.5. Where there is any discrepancy between your own records and the records retained by MemeX, MemeX's records will prevail unless proven otherwise by clear evidence.

8. Accessing the MemeX Platform

8.1. You must use the MemeX Platform only through the methods and interfaces provided by MemeX. You must not attempt unauthorized access to any part of the Platform, its systems, or related networks.

8.2. You are responsible for obtaining and maintaining all devices, internet connections, software, and other requirements necessary to access the Platform.

8.3. MemeX may suspend or restrict access to all or part of the Platform for maintenance, upgrades, security issues, or other operational reasons. We will endeavor to provide notice where reasonably practicable, but advance notice may not always be possible.

8.4. Access to the Platform may vary depending on your jurisdiction, device, or technical environment. MemeX does not guarantee that the Platform will be available at all times or in all locations.

8.5. We may implement identity verification, security checks, or other access-control procedures where necessary to comply with legal obligations or protect the Platform and its users.

9. Transactions

9.1. All transactions conducted through the MemeX Platform are final and irreversible unless otherwise required by applicable law or expressly stated by MemeX.

9.2. You are solely responsible for reviewing and confirming the accuracy of transaction details before submitting any instruction. MemeX is not responsible for errors resulting from incorrect or incomplete information provided by you.

10. Submission of Instructions

10.1. Any instruction, order, or request submitted through your account, wallet, or authorized access credentials is deemed to have been made by you.

10.2. MemeX may rely on such instructions without additional verification, unless otherwise required by law or where we determine that enhanced verification is necessary for security reasons.

10.3. Once submitted, instructions may not be cancelled, reversed, or modified except where the Platform expressly permits it or where required by applicable law.

10.4. You are responsible for ensuring that all instructions submitted are accurate, complete, and authorized. MemeX is not liable for losses arising from unauthorized or mistaken instructions where it acted in accordance with credentials or authorization reasonably believed to be valid.

11. Processing and Records of Transactions

11.1. MemeX may process, refuse, delay, or cancel transactions where necessary for legal compliance, risk management, system integrity, or operational reasons.

11.2. Transaction records maintained by MemeX will serve as prima facie evidence of the existence, details, and status of transactions, unless proven otherwise by clear and convincing evidence.

12. Material Interests and Conflicts of Interest

12.1. MemeX, its affiliates, officers, employees, or service providers may have direct or indirect interests in certain digital items, transactions, or services available on or through the Platform.

12.2. Such interests may create actual or potential conflicts of interest. MemeX is not obligated to disclose every such interest unless required by applicable law.

12.3. MemeX will use commercially reasonable efforts to manage conflicts of interest in accordance with applicable law and internal policies, but does not guarantee that all conflicts can be fully identified, prevented, or eliminated.

13. Transaction Limits

MemeX may impose limits on transactions, withdrawals, transfers, or use of certain features, including limits based on user verification level, legal requirements, risk controls, or operational considerations. We may modify such limits at any time without prior notice where necessary.

14. Security

14.1. You are responsible for maintaining the confidentiality and security of your account credentials, private keys, wallets, devices, and any authentication means used to access the MemeX Platform.

14.2. You must immediately notify MemeX if you become aware of or suspect any unauthorized access, security breach, loss, theft, or compromise relating to your account or access credentials.

14.3. MemeX may implement security procedures, monitoring, and protective measures as it deems reasonably necessary, including temporary suspension of access, transaction holds, or additional verification.

14.4. MemeX does not guarantee that the Platform will be free from hacking, cyberattacks, malware, phishing, service interruption, or other security incidents.

14.5. Where security measures are taken for your protection or to comply with legal obligations, you agree to cooperate with MemeX and provide requested information to the extent reasonably necessary.

14.6. You acknowledge that blockchain transactions and digital asset services may be especially vulnerable to cyber risks, irreversible errors, and technological exploits, and you assume such risks to the fullest extent permitted by law.

15. Privacy

15.1. MemeX collects, uses, stores, and discloses personal data in accordance with its Privacy Policy and applicable data protection laws.

15.2. By using the Platform, you acknowledge that certain personal data may be processed for account administration, service operation, security, fraud prevention, compliance, customer support, and other legitimate purposes described in the Privacy Policy.

15.3. Account Deletion (Membership Withdrawal) and Data Deletion Requests (1) You may request account deletion (membership withdrawal) through the settings or customer support within the service, and we may conduct identity verification or additional confirmation procedures to prevent fraudulent or mistaken requests. (2) Upon account deletion request, access to some or all services may be restricted immediately or after a certain grace period in accordance with separate policies or operational rules. (3) Personal data that must be retained under applicable laws (for example, transaction records, dispute-response records, logs required for fraud-prevention/security) will be kept for the statutory retention period even after membership withdrawal, and then will be destroyed without delay. (4) Information that has already been shared with other users (for example, publicly visible posts/comments) may not be technically feasible to delete completely immediately, and in such cases exposure may be minimized through anonymization, de-identification, or blocking/deletion processing. (5) Withdrawal is not permitted, or processing may be delayed, while there is a pending dispute/investigation, violation review, unpaid fees or debts, or unresolved transaction/settlement issue. (6) Where there is a legally required separate retention period or procedure relating to membership withdrawal, such law/procedure will prevail.

15-2.1. Definition and Distinction of Advertising Information "Advertising information" means information sent for profit-making purposes that introduces or promotes goods/services/events/benefits. However, purely transactional/operational information necessary for performing the contract or providing the service (for example, service availability, transaction status, security notices, policy change notices, legal notices) is not considered advertising information.

15-2.2. Consent to Receive Advertising Information (1) We send advertising information by email, app push, SMS/LMS, and other methods only to users who have given prior consent, unless otherwise permitted by applicable law. (2) You may choose whether to consent to receive advertising information during sign-up or within account settings, and service use is not restricted solely because you do not consent. (3) If required by applicable law, we separately obtain and manage consent by channel.

15-2.3. Withdrawal of Consent (Opt-Out) (1) You may withdraw consent to receive advertising information at any time through account settings, the opt-out link/button in the message, or customer support. (2) Opt-out requests are processed without undue delay, and already scheduled messages may still be sent within the minimum time necessary for system processing. (3) We may inform you separately of instructions to re-enable receipt after opt-out.

15-2.4. Restrictions on Night-Time Sending Where applicable law restricts advertising messages during certain night-time hours, we comply with such restrictions. If separate prior consent is required for night-time sending, we obtain such consent before sending.

15-2.5. Sender Information Advertising messages include the sender's name/contact information, the fact that the message is advertising, and clear instructions on how to opt out, in accordance with applicable law.

15-2.6. Existing Users Where transitional measures or exceptions are allowed under applicable law for existing users, we apply them within the legally permitted scope.

16. Amendments to the Terms

16.1. MemeX may amend these Terms from time to time to reflect changes in laws, regulations, services, business operations, or risk management needs.

16.2. Where changes are material, we will provide notice through the Platform, website, email, or other appropriate means within a reasonable period before the effective date, unless earlier effectiveness is required by law or urgent circumstances.

16.3. Unless otherwise required by applicable law, your continued access to or use of the Platform after the effective date of the amended Terms constitutes acceptance of the amended Terms.

16.4. If you do not agree to the amended Terms, you must stop using the Platform and may request account closure or termination of services, subject to applicable law and operational requirements.

17. Termination, Suspension, and Restrictions

17.1. MemeX may, at its sole discretion, suspend, restrict, or terminate your access to the Platform or Services immediately or after notice where it determines that such action is reasonably necessary for legal compliance, security, risk management, investigation, dispute handling, or operational reasons.

17.2. Grounds for suspension, restriction, or termination include, without limitation:

violation of these Terms or applicable law; provision of false, misleading, or incomplete information; unauthorized access, abuse, fraud, money laundering, market manipulation, or other suspicious activity; security incidents, hacking, or attempts to circumvent controls; legal or regulatory requests or orders; failure to satisfy eligibility requirements; or other conduct that MemeX reasonably deems harmful to the Platform, users, or third parties.

17.3. Effect of Measures and Settlement Suspension, restriction, or termination may result in cancellation of pending functions or transactions, denial of access to content or digital items, and delay or refusal of settlement/withdrawal, to the extent permitted by applicable law and necessary for legal/risk management purposes.

17.4. MemeX is not liable for losses arising from suspension, restriction, or termination, except to the extent such liability cannot be excluded under applicable law.

17.5. Even after termination, provisions of these Terms that by their nature should survive will remain in effect, including those relating to intellectual property, disclaimers, indemnification, limitation of liability, dispute resolution, arbitration, records retention, and compliance obligations.

18. MemeX IP

MemeX and its licensors retain all rights, title, and interest in and to the Platform, Services, software, technology, designs, trademarks, trade names, logos, content provided by MemeX, and all related intellectual property rights (collectively, "MemeX IP"). Except as expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

19. License to MemeX IP

By using the Platform, MemeX grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform and MemeX IP solely for your personal or internal business use in accordance with these Terms.

19.1. License Restrictions You must not, and must not permit any third party to:

copy, modify, distribute, sell, lease, sublicense, or commercially exploit MemeX IP except as expressly allowed; reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas from the Platform, except to the extent prohibited from restriction by applicable law; remove or alter proprietary notices, trademarks, or rights-management information; use the Platform or MemeX IP to build a competing product or service.

19.2. Reservation of Rights All rights not expressly granted are reserved by MemeX and its licensors.

20. License to User IP

20.1. To the extent necessary for the operation, improvement, compliance, security, promotion, or provision of the Platform and Services, you grant MemeX a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for technical formatting), display, perform, publish, distribute, and otherwise use content or materials that you submit, post, upload, or otherwise make available through the Platform ("User IP").

20.2. This license is limited to the purposes described above and will, unless otherwise required by law or necessary for legal/compliance/archive purposes, end within a reasonable time after the relevant content is deleted from the Platform.

20.3. You represent and warrant that you have all rights necessary to grant this license and that your User IP and our permitted use thereof do not violate applicable law or third-party rights.

21. Rights in Creations and Outputs

21.1. Where the Platform provides tools or functions that generate, compose, recommend, or otherwise produce outputs, ownership of such outputs will be determined in accordance with the specific rules of the relevant service, applicable law, and the rights of third parties.

21.2. Unless otherwise expressly stated, MemeX does not guarantee that any output is unique, protectable, or free from third-party claims.

21.3. You are solely responsible for reviewing, using, sharing, or exploiting outputs generated through the Platform and for obtaining any rights clearances that may be necessary.

22. General

22.1. Words of Appreciation MemeX sincerely appreciates the user community and hopes to provide a better platform through healthy participation and communication. However, this statement does not create any legal obligation or duty and has only declaratory meaning.

22.2. Content Management and Enforcement MemeX may, but is not obligated to, monitor, review, screen, modify, restrict, suspend, remove, or otherwise take action with respect to content, accounts, or activities on the Platform where it determines such action is reasonably necessary for compliance with these Terms, applicable law, safety, rights protection, or operation of the Platform.

Such actions may be taken based on automated systems, internal review, user reports, requests from rights holders, or requests from authorities. Unless prohibited by law, MemeX is not obligated to provide advance notice, detailed explanation, or opportunity to appeal with respect to every action.

MemeX may establish separate guidelines, policies, or standards to implement this Section and may take graduated enforcement actions depending on the severity, frequency, risk, and context of the relevant conduct.

22.3. Communication Records MemeX may record and retain communications with users (including customer support inquiries, report submissions, dispute communications, and other interactions) for service improvement, dispute resolution, compliance, security, training, and quality assurance purposes, to the extent permitted by applicable law.

Users may not record communications with MemeX personnel or service channels without authorization where such recording would violate applicable law or the rights of others.

22.4. Limited Responsibility for User Materials To the maximum extent permitted by applicable law, MemeX is not responsible for the legality, accuracy, completeness, reliability, or quality of materials, content, statements, data, or information provided by users or third parties on or through the Platform.

22.5. Reporting Violations If you become aware of violations of these Terms, unlawful activities, security vulnerabilities, or harmful conduct on the Platform, you may report them to MemeX through the contact channels designated by us.

23. Prohibited Use

23.1. You must not use the MemeX Platform or Services in connection with any of the following:

any unlawful purpose or activity; violation of applicable laws, regulations, sanctions, court orders, or regulatory requirements; fraud, deception, phishing, impersonation, or the dissemination of malware; market abuse, manipulation, wash trading, misleading promotions, or false statements; infringement of intellectual property, privacy, publicity, or other rights of third parties; posting, transmitting, or distributing harmful, offensive, obscene, discriminatory, or hateful content; attempting to gain unauthorized access to systems, accounts, data, or networks; interfering with or disrupting the operation, security, or integrity of the Platform; using automated means (including bots, scrapers, or scripts) except as expressly permitted by MemeX; conduct that may expose MemeX, its affiliates, users, or service providers to legal, regulatory, reputational, or security risk.

23.2. MemeX may investigate suspected prohibited use and may take any action it deems appropriate, including content removal, account restriction, suspension, termination, reporting to authorities, or cooperation with law enforcement.

24. Representations and Warranties

24.1. You represent and warrant, on a continuing basis, that:

you have full power and authority to enter into and comply with these Terms; your access to and use of the Platform comply with applicable law; any information you provide to MemeX is true, accurate, complete, and not misleading; you are not located in, incorporated in, or ordinarily resident in a jurisdiction where the Platform may not lawfully be provided to you; your use of the Platform will not infringe, misappropriate, or otherwise violate any rights of third parties.

24.2. Except as expressly stated in these Terms, you acknowledge that the Platform and Services are provided without any representation or warranty by MemeX.

25.1. The Platform and Services may be affected by bugs, errors, defects, vulnerabilities, service interruptions, delays, incompatibility, network failures, blockchain issues, smart contract risks, or other technical problems.

25.2. MemeX does not guarantee uninterrupted availability, security, accuracy, completeness, or error-free operation of the Platform or Services.

25.3. You acknowledge that updates, upgrades, forks, maintenance, outages, third-party service failures, and changes in law or technology may affect the functionality or availability of the Platform.

25.4. MemeX is not liable for losses arising from unsupported wallets, incompatible devices, internet failures, blockchain congestion, validator failures, smart contract exploits, or similar technical circumstances beyond MemeX's reasonable control.

25.5. Where the Platform integrates or relies on third-party infrastructure, APIs, wallets, payment providers, hosting providers, cloud services, or blockchain networks, MemeX is not responsible for outages, failures, security incidents, or acts/omissions of such third parties.

25.6. You are responsible for maintaining backup copies of any information, records, credentials, or content that is important to you.

26. Indemnification

26.1. To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MemeX, its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against all claims, actions, proceedings, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

your access to or use of the Platform or Services; your violation of these Terms, applicable law, or the rights of any third party; your content, digital items, transactions, instructions, disputes, or misconduct.

26.2. MemeX reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with MemeX in the defense of such matter.

26.3. You may not settle any matter that imposes liability, obligation, or admission on MemeX without MemeX's prior written consent.

27. Liability

27.1. To the maximum extent permitted by applicable law, MemeX and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of opportunity, loss of data, business interruption, reputational harm, or procurement of substitute services.

27.2. To the maximum extent permitted by applicable law, the total aggregate liability of MemeX arising out of or relating to the Platform, Services, these Terms, or any claim by you will not exceed the greater of: (a) the total fees actually paid by you to MemeX during the six (6) months immediately preceding the event giving rise to the claim, or (b) USD 100.

27.3. The exclusions and limitations of liability apply regardless of the form of action and regardless of whether MemeX was advised of the possibility of such damages.

27.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for willful misconduct, fraud, personal injury or death caused by negligence where such limitation is prohibited, or mandatory consumer protection rights.

27.5. Where applicable law does not permit all of the limitations described above, some limitations may not apply to you, and the liability of MemeX will be limited to the maximum extent permitted by such law.

27.6. Any cause of action or claim you may have arising out of or relating to the Platform, Services, or these Terms must be commenced within one (1) year after the cause of action accrues, unless a longer period is required by applicable law.

28. Governing Law and Jurisdiction

28.1. These Terms, and any non-contractual obligations arising out of or relating to them, are governed by the laws of the British Virgin Islands, without regard to conflict-of-law principles.

28.2. Subject to Articles 29 and 30 below, the courts of the British Virgin Islands will have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Platform, or the Services.

29. Dispute Resolution (Consultation and Arbitration)

29.1. Initial Consultation (Mandatory Pre-Procedure) Before commencing arbitration or litigation, the parties must first attempt in good faith to resolve the dispute through consultation for at least thirty (30) days after the Notice of Claim is delivered.

29.2. Notice of Claim A party intending to raise a dispute must first send written notice that includes: (i) name/contact information, (ii) account information (if any), (iii) a summary of the facts and legal basis of the claim, (iv) the relief sought, and (v) supporting materials where reasonably available.

29.3. Arbitration Agreement Except for matters expressly allowed to be brought in court under these Terms, any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services will be finally resolved by binding arbitration on an individual basis.

29.4. Exceptions to Arbitration (Court Filing Permitted) The following may be brought in court to the extent permitted by applicable law: applications for provisional or injunctive relief, intellectual property infringement or misuse claims, small claims matters, and matters for which arbitration agreement is legally prohibited.

29.5. Arbitral Institution, Rules, Seat/Method Unless otherwise required by applicable law, arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules or other applicable rules then in effect. The place (seat) of arbitration is the British Virgin Islands, unless the parties agree otherwise or applicable law requires a different arrangement. Arbitration may proceed in writing, remotely, in person, or by a hybrid method, as determined under the applicable rules.

29.6. Arbitration Costs (Consumer Protection) Arbitration fees and costs will be allocated in accordance with the applicable AAA rules and applicable law. Nothing in these Terms deprives a consumer of rights to fee reduction, reimbursement, or cost-shifting otherwise available under applicable law or the applicable arbitration rules.

29.7. Limitation Period / Filing Deadline To the extent permitted by applicable law, any arbitration demand must be filed within one (1) year after the relevant claim arises, unless a longer period is required by mandatory law.

29.8. Confidentiality To the extent permitted by law and the applicable rules, the arbitration proceeding, submissions, evidence, decisions, and settlement discussions will remain confidential, except where disclosure is required by law, regulatory obligation, court order, or to protect a legal right.

29.9. Mass Arbitration (1) "Mass Arbitration" means a situation in which multiple users (for example, including the same or similar legal counsel), based on the same or substantially similar facts and legal issues, initiate arbitration against us. (2) Where Mass Arbitration applies, the parties and the AAA will prioritize the AAA rules/fee schedule relating to mass arbitration (including where the Mass Arbitration Supplementary Rules and related procedures apply) for fairness and efficiency of procedure, and may additionally apply the following batching procedures to the extent permitted by those rules:

(a) a certain number of representative cases are selected first ("bellwether") and proceed first; (b) based on the first-stage results and issue organization, mediation/settlement procedures are attempted; (c) remaining cases proceed sequentially according to settlement or the procedural directions of the AAA/arbitrator.

(3) This paragraph is for procedural administration and is not intended to unfairly restrict the substantive rights of either party.

29.10. Changes to Arbitration Provision Where we materially change this arbitration provision, we will provide notice in accordance with Article 16. If applicable law requires, such change will not apply retroactively to disputes for which Notice of Claim has already been delivered.

29.11. Arbitration Opt-Out Right If applicable law grants the right to reject this arbitration agreement within a certain period after first agreeing to these Terms, you may exercise that right by following the opt-out procedure we designate. If applicable law does not require such opt-out right, this paragraph may not apply.

30. Waiver of Class/Representative Actions

30.1. To the maximum extent permitted by applicable law, you and MemeX agree that any dispute will be resolved only on an individual basis and not in a class, collective, consolidated, or representative action or proceeding.

30.2. The arbitrator or court may not consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding, except where mandatory law requires otherwise.

30.3. If this waiver is found unenforceable with respect to a particular claim or request for relief, then that claim or request for relief must be severed and proceed in court to the extent required by law, while the remainder of the dispute will continue in arbitration or otherwise as provided in these Terms.

31.2. MemeX may provide notices to you through the Platform, website, email, push notification, or other contact information you have provided.

32. General Terms

32.1 Compliance with Laws You must comply with all applicable laws, regulations, sanctions, tax obligations, and legal requirements in connection with your access to and use of the Platform.

32.2 Communications You consent to receive communications from MemeX electronically, and agree that electronic notices, disclosures, agreements, and records satisfy any legal requirement that such communications be in writing, except where mandatory law requires otherwise.

32.3 Updates and Notices MemeX may provide updates, disclosures, and notices relating to the Platform or these Terms through the Platform interface, website posting, email, or other reasonable methods, and such notices become effective in accordance with applicable law and these Terms.

32.4 Entire Agreement These Terms, together with any policies, guidelines, disclosures, and additional terms expressly incorporated by reference, constitute the entire agreement between you and MemeX regarding the Platform and Services and supersede prior or contemporaneous understandings on that subject matter.

32.5 Assignment of Rights You may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under these Terms without MemeX's prior written consent. MemeX may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or by operation of law.

32.6 Severability If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law or, if not possible, deemed severed.

32.7 Recording To the extent permitted by applicable law, MemeX may record communications, transactions, consent, acknowledgments, or other interactions for compliance, evidence, dispute resolution, security, service improvement, or operational purposes.

32.8 Governing Language These Terms may be provided in multiple languages. In the event of inconsistency between versions, the Korean version will prevail unless mandatory law in your jurisdiction requires otherwise.

32.9 Exclusive Application These Terms apply exclusively to the Platform and Services provided by MemeX and do not independently govern products or services of third parties unless expressly stated.

32.10 Continuing Obligations Obligations and provisions that by their nature should survive suspension, termination, or expiration of these Terms will so survive.

32.11 Independent Relationship Nothing in these Terms creates any partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and MemeX.

32.12 Force Majeure MemeX is not liable for delay, failure, interruption, or non-performance resulting from events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, power or telecom outages, cyberattacks, blockchain/network failure, governmental action, sanctions, or service provider failure.

32.13 No Waiver of Rights Failure or delay by MemeX in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy.

32.14 Set-Off of Balances To the extent permitted by applicable law, MemeX may set off or apply balances, credits, or amounts owing between you and MemeX against liabilities you owe to MemeX.

32.15 Protection of User Personal Information and Confidentiality MemeX will use commercially reasonable efforts to protect personal information and confidential information in accordance with applicable law, internal policies, and security procedures, but does not guarantee absolute security.

32.16 Violations and Enforcement Where MemeX determines that a violation of these Terms or applicable law has occurred or is likely to occur, MemeX may take enforcement measures including restriction of access, content removal, suspension, termination, investigation, reporting, and legal action.

32.17 Taxes You are solely responsible for determining, reporting, filing, paying, and remitting any taxes arising from your use of the Platform, transactions, or digital items, unless applicable law expressly requires otherwise.

33. Definitions and Interpretation

33.1 Reading and Interpretation Unless the context requires otherwise: (1) headings are for convenience only and do not affect interpretation; (2) singular includes plural and vice versa; (3) references to "including" mean "including without limitation"; (4) references to law include amended, replaced, or re-enacted provisions; and (5) references to a person include individuals, corporations, partnerships, organizations, and legal entities.

33.2 Order of Document Priority In the event of conflict between these Terms and any separate policy, guideline, or additional terms, the document expressly designated by MemeX as having priority for the relevant matter will prevail. If no such designation is made, these Terms prevail unless applicable law requires otherwise.

33.3 Key Definitions In these Terms, the following terms have the meanings below:

  • "Account" means the account registered or recognized for access to the Platform or Services.

  • "Applicable Law" means any law, statute, regulation, rule, ordinance, judgment, order, decree, sanctions regime, or regulatory guideline applicable to a party, the Platform, or the Services.

  • "Digital Item" means any token, digital asset, blockchain-based item, virtual item, point, credential, or other digital representation that may be used, created, distributed, displayed, transferred, or recognized through the Platform or in connection with the Services.

  • "MemeX IP" means all intellectual property rights and proprietary rights in and to the Platform, Services, software, code, interfaces, technology, documentation, designs, trademarks, trade names, logos, and content provided by MemeX.

  • "Platform" means the online/mobile services, websites, applications, interfaces, features, and related systems provided by MemeX.

  • "Services" means all services, functions, content, tools, features, digital item-related functions, social interaction functions, and related operations provided by MemeX through or in connection with the Platform.

  • "User IP" means content, materials, data, posts, uploads, comments, media, feedback, suggestions, and other information or intellectual property made available by you through the Platform.

Supplementary Provisions

These Terms take effect on March 10, 2026.
